Kyoto Digital Limited (“Kyoto Digital”) provides digital marketing and related services to businesses. Any specific services offered are subject to agreements between Kyoto Digital and its clients.

2. Engagement and Performance

• The client agrees to provide necessary information and materials required for the successful completion of services.
• Kyoto Digital will endeavor to provide services to a high standard but cannot guarantee specific results due to factors beyond our control.

3. Payment Terms

• Clients will be invoiced monthly unless agreed otherwise in writing.
• Payment is due within 7 days of receiving an invoice. A direct debit must be set up unless otherwise agreed.
• Non-payment within 14 days will result in the suspension of all services until full payment is received.
• Payments are taken upfront for services. Deposits are non-refundable unless under reasonable circumstances.
• Kyoto Digital reserves the right to adjust service pricing upon periodic review.

4. Confidentiality

• Both parties agree to keep all business-related information confidential, including accounting records, processes, and client data, unless required by law.
• Confidentiality obligations will survive indefinitely beyond the termination of any agreement.
• Clients must not use information gained from working with Kyoto Digital to exploit Kyoto Digital’s business or solicit its employees.

5. Intellectual Property (IP)

• Any content, design, or development work created by Kyoto Digital remains the property of Kyoto Digital unless explicitly agreed otherwise in writing.
• Bespoke content funded by the client will remain the client’s property.
• Content created by Kyoto Digital may not be repurposed or resold without prior written permission.

6. Termination

• Either party may terminate the agreement by providing 30 days’ written notice.
• Services are subject to a 1-month minimum initial term.
• Obligations will cease upon termination except as otherwise stated in these Terms and Conditions.

7. Governing Law

These Terms and Conditions are governed by the laws of England. Any disputes arising from or related to these terms will be subject to the exclusive jurisdiction of the courts of England.

8. Limitation of Liability

• Kyoto Digital will not be held liable for any indirect, incidental, or consequential damages arising from the use of its services or website.
• Kyoto Digital does not guarantee uninterrupted or error-free access to its website or services.

9. Acceptable Use Policy

By using this website, you agree to:

• Not engage in any unlawful or harmful activities.
• Not use the website to distribute malware, spam, or any other harmful content.
